Ovintiv has agreed to pay about C$1.26bn ($890m), including assumed net debt, for Canadian producer Logan Energy, adding roughly 266,000 net acres in the oil-rich Montney and about 20,000 barrels of oil equivalent per day of production.

The Denver-headquartered buyer, listed on both the New York Stock Exchange and the Toronto Stock Exchange, already operates in the Permian Basin and the Montney. Logan brings assets in the Montney across Alberta and British Columbia plus holdings in the Kaybob Duvernay oil play. Both boards have approved the deal.

What do shareholders receive?

Logan shareholders will get C$1.40 in cash per share plus a spin-out of Logan Oil, a new entity holding certain assets outside the Montney and Duvernay fairways. Logan, currently listed on the TSX Venture Exchange, intends to seek a TSXV listing for the new company. Logan Oil will also acquire additional assets through separate transactions.

Ovintiv will fund the purchase with cash on hand, credit facilities and its commercial paper programme. The transaction is expected to close in Q1 2027, pending shareholder, court and regulatory approvals.

How big is the prize?

The acreage breakdown shows why Ovintiv moved:

  • 266,000 net acres added, primarily in the oil-rich Montney, of which 200,000 acres are core and 80% undeveloped
  • Post-closing, Ovintiv's Montney position grows to about 720,000 net acres
  • 420 net 10,000-foot equivalent oil well locations: roughly 220 premium return sites and about 200 additional potential locations

Production coming with the package totals approximately 20,000 boepd, split into 7,000 bpd of oil and condensate, 70 million cubic feet per day of natural gas and 1,000 bpd of other natural gas liquids.

The deal also hands Ovintiv two recently built oil batteries at Simonette and partial interests in two natural gas processing facilities.

Where do the economics land?

Ovintiv expects annual cost synergies of about $60m, mainly from reductions in capital, overhead and production costs. After completion, the company anticipates net debt will remain below $4bn.

RBC Capital Markets is advising Ovintiv, with legal counsel from Blake, Cassels & Graydon and Paul, Weiss, Rifkind, Wharton & Garrison.

The purchase continues a portfolio reshuffle. In February, Ovintiv signed a definitive agreement to sell its Anadarko assets in Oklahoma for $3bn in cash to an unnamed buyer; that transaction closed in April 2026, transferring about 360,000 net acres — nearly all of its regional holdings.

Watch for the shareholder, court and regulatory approvals that stand between the deal and its Q1 2027 target close.
