bp Banks $1.06bn From Aker BP Stake Sale, Lifts 2026 Divestment Target to $9bn
bp raised $1.06bn selling 5% of Aker BP at Nkr311/share, cutting its stake to 10.9% and lifting 2026 divestment proceeds guidance to about $9bn.
Field notes
- bp sold 5% of Aker BP at Nkr311 ($33.4) per share for gross proceeds of about Nkr9.83bn ($1.06bn).
- bp's stake falls from 15.9% to about 10.9%; 68.7 million retained shares locked up for 90 days.
- bp raised expected full-year 2026 divestment and other proceeds to about $9bn, $1bn above prior guidance.
- Aker BP started the Skarv Satellite Project (Alve Nord, Idun Nord, Ørn; ~120 mboe) in August, a year early.
- In August bp agreed to buy Woodside's 70% interest in the Calypso gas project, Block TTDAA 14, Trinidad and Tobago.
bp has raised $1.06bn (Nkr9.83bn) by selling a 5% stake in Norwegian producer Aker BP at Nkr311 ($33.4) per share, and lifted its expected full-year 2026 proceeds from divestments and other sources to about $9bn — roughly $1bn above previous guidance.
The placing, confirmed on 25 November (per company announcement), reduces bp's holding in Aker BP from 15.9% to about 10.9%. bp retains 68.7 million shares and has agreed not to sell them for 90 days, subject to customary exemptions. The company said the proceeds will support its balance sheet.
For upstream portfolio watchers, the move is a partial monetisation rather than an exit. bp keeps a double-digit position in one of the Norwegian shelf's lowest-cost producers while banking cash against a divestment programme that has now been recalibrated upward.
Barclays served as sole global coordinator and bookrunner on the sale, with DNB Carnegie as co-bookrunner.
Why sell now?
The timing reflects Aker BP's recent performance on both operations and macro. bp CEO Meg O'Neill said: "Since Aker BP's creation a decade ago, it has executed a successful growth strategy that has led to significant value creation."
"In recent months, it has further increased its value through a combination of its strong performance and the favourable macro environment. We believe now is the right time for us to realize part of this value to further strengthen bp's balance sheet, our first priority as we build a simpler, stronger, more valuable bp."
The sale price captures value built over a decade of growth, and the 90-day lockup signals bp is not planning a rapid follow-on disposal of the remaining 68.7 million shares.
Takeaway: bp converted a maturing non-operated holding into $1bn of balance-sheet headroom while prices support the exit.
What is Aker BP delivering in the Norwegian Sea?
The stake being sold sits on top of a live growth story. In August this year, Aker BP began producing from its Skarv Satellite Project in the Norwegian Sea.
The development comprises three fields:
- Alve Nord
- Idun Nord
- Ørn
Together they hold about 120 million barrels of oil equivalent in recoverable resources. First oil arrived a year ahead of the original schedule, according to the source material. The project is designed to increase operational flexibility and extend the life of infrastructure around the Skarv field — a hub-extention play of the sort Norwegian operators have refined across the Halten Terrace.
That schedule slippage into reverse — early startup, not delay — is part of what the CEO's "strong performance" comment points to, and it underpins the valuation at which bp could place the shares.
Takeaway: the asset behind the sale just delivered early production from 120 mboe of new resources tied back to Skarv.
What else is bp doing with the cash and the portfolio?
The same month as Skarv's startup, August, bp reached an agreement to purchase Australia-based Woodside Energy's 70% interest in the Calypso gas project in Block TTDAA 14 offshore Trinidad and Tobago.
Read together, the moves sketch a portfolio in rotation: trimming a mature Norwegian non-operated stake, adding operated-adjacent gas acreage in the Atlantic basin, and raising the divestment proceeds target to $9bn for full-year 2026.
For practitioners, the working number is the guidance revision. A $1bn upward move in expected divestment and other proceeds — announced alongside, not separately from, the Aker BP sale — tells the market bp sees more monetisations landing in 2026 than it previously flagged.
Takeaway: one placing in Oslo moved both the balance sheet and the 2026 divestment guidance by a billion dollars.
The watch items
Three dates and disclosures now matter for this story's next leg:
- The expiry of the 90-day lockup on bp's remaining 68.7 million Aker BP shares, which marks the earliest window for a further selldown.
- Confirmation of the Calypso transaction's terms and closing, which will clarify how much of the Aker BP cash is already spoken for.
- bp's next results, where the market will test whether the $9bn 2026 proceeds target holds or rises.
The lockup clock is the nearest marker.
